1. Acceptance of Terms
By purchasing and using Intellinesia's digital products, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not purchase or use our products.
2. Products Description
Intellinesia develops and licenses Wacht, a premium development toolkit that accelerates software development:
- Wacht: A pro-code AI-native development toolkit featuring a complete CIAM platform with SSO, 2FA, B2B organization management, infrastructure building blocks for rate limiting, credits monitoring, webhooks, and real-time notifications. Licensed as a framework with SDK access.
- Associated documentation, SDKs, and integration tools
- Updates and patches for licensed products
- Technical support services as per product plans
3. Customer Responsibilities
Customers purchasing Wacht agree to:
- Provide accurate payment and contact information
- For Wacht: Not exceed licensed user limits, maintain security of access credentials, not compete directly with Wacht using its own codebase
- Not attempt to reverse engineer or decompile our products
- Report security vulnerabilities responsibly through our security disclosure program
- Ensure end-user compliance when incorporating our products into your own offerings
4. Intellectual Property
Unless otherwise specified in a separate agreement:
- Wacht: Source-available under our license. You may view, modify, and use the code for your own projects but cannot create competing products or redistribute modified versions. Commercial use requires a valid license.
- All product names, logos, and branding remain Intellinesia property and require permission for public use
- Customer-generated content, configurations, and data remain customer property with license for us to process as needed for service delivery
5. Confidentiality and Source Code
We protect your confidential information while maintaining transparency in our products:
- Wacht source code: While Wacht is source-available, using it to create competing products is strictly prohibited. You may modify for internal use but cannot offer Wacht-based services to others.
- Customer data: All customer information, payment details, and usage data remain strictly confidential
- We will not disclose confidential information without consent, except as required by law
6. Limitation of Liability
To the fullest extent permitted by law, Intellinesia's liability is limited as follows:
- Our total liability shall not exceed the amount paid by the customer for the specific product
- We are not liable for indirect, incidental, special, or consequential damages
- We are not responsible for damages resulting from customer's misuse of our products
- Force majeure events are excluded from liability
7. Payment Terms
Payment processing is handled through secure third-party providers. Product-specific pricing and terms:
- Wacht: Available through subscription licensing or perpetual license options. Pricing tiers based on team size and deployment scale.
- All payments are processed in USD unless otherwise specified
- Taxes are additional where applicable based on your location
- All prices subject to change with 30 days notice to existing customers
8. Refund Policy
We offer a limited refund policy to ensure customer satisfaction:
- 7-day refund window: Request a refund within 7 days of your initial purchase for a full refund
- Eligibility requirements: Less than 20% of licensed resources used (active users for Wacht)
- First-time customers only: Refund policy applies only to your first purchase
- No refunds for: Renewal payments, upgrades, add-ons, or purchases made after the initial purchase
- Subscription refunds: Prorated refund for unused time if canceled within 7 days of initial purchase
- Processing time: Refunds processed within 5-10 business days to original payment method
To request a refund, email support@intellinesia.com with your order details and reason for refund. We reserve the right to deny refunds for abuse of this policy.
9. Product Updates and Support
Product maintenance and support terms:
- Wacht: Security updates included for 2 years with any license. Feature updates available to active subscribers. Community support via Discord, premium support tiers available.
- Critical security patches provided to all license holders regardless of support status
- Documentation updates and migration guides provided for breaking changes
10. Warranty and Disclaimers
Our products are provided "as is" with the following considerations:
- We warrant that our products will substantially perform as described in the documentation for 90 days from purchase
- We do not warrant uninterrupted or error-free operation
- Wacht: No warranty that generated code will be bug-free or suitable for production without review
- Your sole remedy for warranty breach is product replacement or refund at our discretion
11. Acceptable Use Policy
You agree not to use our products to:
- Violate any laws or regulations
- Infringe on intellectual property rights
- Distribute malware, spam, or harmful content
- Attempt to gain unauthorized access to systems
- Harass, abuse, or harm others
- For Wacht: Build competing products or extract proprietary algorithms
12. Data Processing and Privacy
By using our products, you acknowledge:
- We process data as outlined in our Privacy Policy
- Wacht: Telemetry data is anonymized and used solely for product improvement
- You are responsible for obtaining necessary consents from your end users
- We comply with GDPR, CCPA, and other applicable data protection laws
13. Export Controls and Compliance
Our products are subject to export control laws. You agree not to export or re-export our products to prohibited countries or entities. You are responsible for compliance with all applicable laws in your jurisdiction.
14. Indemnification
You agree to indemnify and hold Intellinesia harmless from any claims, damages, or expenses arising from your use of our products, violation of these Terms, or infringement of any rights of third parties.
15. Subscription Terms
For subscription-based products:
- Subscriptions automatically renew unless canceled 24 hours before the renewal date
- Price changes will be notified 30 days in advance
- Downgrades take effect at the next billing cycle
- No partial refunds for unused subscription time
16. Beta Features
Beta features are provided for testing and feedback. They may be unstable, change without notice, or be discontinued. Beta features are not covered by warranties or SLAs. Use in production is at your own risk.
17. Third-Party Services
Our products may integrate with third-party services. We are not responsible for the availability, accuracy, or content of third-party services. Your use of integrated services is subject to their respective terms.
18. Termination
Termination may occur:
- By you: Cancel subscriptions anytime; perpetual licenses remain valid
- By us: For Terms violations, non-payment, or illegal activities
- Upon termination: Access ceases, data deletion per Privacy Policy, no refund for violations
- Surviving terms: IP rights, indemnification, limitations of liability continue
19. Governing Law and Disputes
These terms are governed by the laws of Delaware, USA, without regard to conflict of law principles. Dispute resolution:
- First attempt: Good faith negotiation within 30 days
- If unresolved: Binding arbitration under AAA rules
- Location: Delaware or via video conference
- Exception: Either party may seek injunctive relief in court
- Class action waiver: All disputes resolved individually
20. Product-Specific Terms
Additional terms may apply to specific products:
- Wacht Beta Access: Beta users acknowledge potential instability and agree to provide feedback. Beta pricing may not reflect final pricing.
- Enterprise agreements may supersede these standard terms
21. Changes to Terms
We may update these Terms at any time. Material changes will be notified via email or product dashboard 30 days before taking effect. Continued use after changes constitutes acceptance. You may terminate if you disagree with changes.
22. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force. The unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.
